1. Acceptance of Terms

By accessing or using the website located at josephservicesllc.com (the "Site"), by tendering freight to Joseph Services LLC ("Company," "we," "us," or "our"), or by accepting a rate confirmation from us, you agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Site or tender freight to us.

These Terms apply to all visitors to the Site and to every shipper, consignor, consignee, and other party whose freight we carry.

2. Who We Are

Joseph Services LLC is a motor carrier based in Fredericksburg, Pennsylvania. We own our tractors and trailers, we employ our own drivers, and we haul freight ourselves under operating authority issued to us by the Federal Motor Carrier Safety Administration.

Our registration is a matter of public record and can be checked before you call us:

Our website serves as our online presence for information, quoting, and contact. It is not a booking system: no load is accepted, and no rate is binding, until we issue a written rate confirmation for it.

3. Services We Provide

Joseph Services LLC provides transportation of property by motor vehicle in interstate and intrastate commerce, on its own authority and on its own equipment. That includes:

• Full truckload transportation of general commodities
• Dry van, refrigerated, and flatbed service, subject to equipment availability at the time you ask
• Loading, securement, tarping, and transit of flatbed freight, including machinery, banded steel, and equipment
• Pickup, linehaul, and delivery of each shipment we accept, performed by our own driver
• Status on a shipment in transit, given by the people who are in contact with the driver carrying it
• Issuing rate confirmations and bills of lading, and returning signed delivery paperwork

We run a small fleet. That means we do not accept every load offered to us, and we would rather tell you no on the phone than accept a shipment we cannot cover. Availability is confirmed load by load.

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. This does not affect a shipment already covered by an issued rate confirmation.

4. What We Are Not

If you have been told otherwise by any third party, that statement was not made by us and does not bind us.

5. Eligibility

By using our Site or tendering freight to us, you represent that you are at least 18 years of age, have the legal authority to enter into a binding agreement on behalf of yourself or the party you represent, and are acting for lawful business purposes only.

6. Use of the Website

You agree to use this Site only for lawful purposes. You must not:

• Use the Site for any fraudulent, unlawful, or deceptive purpose
• Transmit harmful, offensive, or disruptive content
• Attempt unauthorized access to any part of our systems or data
• Reproduce, duplicate, copy, or resell any part of the Site without written permission
• Use automated tools, bots, or scrapers to collect data from the Site
• Interfere with or disrupt the security or functionality of the Site

We reserve the right to suspend or terminate access to our Site for any user who violates these conditions.

7. Our Undertakings as Motor Carrier

For every shipment we accept, Joseph Services LLC agrees to:

• Maintain active operating authority under MC-1209517 and USDOT 3580883, and to maintain the insurance a motor carrier of property is required to carry
• Operate in compliance with applicable Federal Motor Carrier Safety Regulations, including driver qualification, hours of service and electronic logging, controlled substances and alcohol testing, and vehicle inspection, repair, and maintenance
• Secure the load in accordance with the cargo securement rules at 49 C.F.R. Part 393, Subpart I
• Carry the shipment on our own equipment with our own driver, and not to broker, re-broker, interline, or otherwise transfer the load to another carrier without your prior written consent
• Tell you promptly about any delay, breakdown, accident, refusal at a facility, or other event that affects the pickup or delivery of your freight
• Return the signed delivery receipt or bill of lading for the shipment

Where a shipment is tendered under a separate written transportation agreement between us, that agreement controls to the extent it conflicts with this section.

8. Shipper Responsibilities

Shippers and consignors tendering freight to us agree to:

• Describe the freight accurately and completely: commodity, piece count, weight, dimensions, packaging, temperature requirements, and any special handling
• Present freight properly packaged, palletized, blocked, braced, and labeled, so that it can be loaded and secured safely and legally
• Have the freight and the paperwork ready at the agreed appointment, and provide the loading assistance or equipment the facility requires
• Give accurate pickup and delivery addresses, receiving hours, appointment numbers, and site contacts
• Tell us before pickup of any change to the shipment; freight that does not match what was tendered may be refused at the dock, and the driver's time on site is chargeable
• Not tender hazardous materials unless we have agreed in writing in advance and the shipment is offered in compliance with 49 C.F.R. Parts 171 through 180
• Ensure that the delivery receipt is signed at delivery and that any shortage or visible damage is written on it before the driver leaves, which is what preserves a claim
• Fulfill payment obligations as stated in the rate confirmation or invoice
• Not hold Joseph Services LLC responsible for delays, refusals, or additional cost caused by inaccurate or incomplete freight information

9. Rates, Payment, and Billing

All charges and rates are set out in the rate confirmation we issue for the shipment, or in a written transportation agreement between us. By accepting a rate confirmation, you agree to the stated linehaul rate, accessorial rates, and payment terms.

• Payment is due as specified in the rate confirmation or invoice
• Accessorial charges are billed as agreed and may include detention after the stated free time, layover, truck ordered not used, driver assist, lumper fees we advance on your behalf, additional stops, redelivery, and storage
• Fuel surcharges, tolls, permits, and escort costs are billed as stated in the rate confirmation
• We reserve the right to adjust rates for future shipments due to fuel, tolls, or market conditions with reasonable notice; an issued rate confirmation is not adjusted after the fact
• Late payments may result in suspension of service, additional fees, referral to collections, and the exercise of any lien available to a motor carrier under applicable law

10. Cancellations, Detention, and Truck Ordered Not Used

If a shipper or consignor cancels a booked load after we have dispatched a truck to it, or fails to have the freight ready at the agreed appointment, a truck ordered not used charge and any deadhead cost may apply, as set out in the applicable rate confirmation.

Detention begins when the free time stated in the rate confirmation has elapsed at a pickup or delivery facility. The free time and the detention rate are stated on the rate confirmation for each shipment; nothing in these Terms sets them.

Joseph Services LLC reserves the right to recover reasonable costs resulting from last-minute cancellations, no-shows, or a facility's refusal to load or unload within a reasonable time.

11. Cargo Liability and Claims

As a motor carrier, our liability for loss of or damage to freight in our possession is governed by the Carmack Amendment, 49 U.S.C. § 14706, together with the bill of lading and the rate confirmation for the shipment.

We are not liable for loss or damage caused by an act of God, the public enemy, an act or omission of the shipper, an act of a public authority, or the inherent vice or nature of the goods themselves.

Freight of extraordinary value must be declared to us in writing before pickup and agreed in the rate confirmation. Undeclared excess value is not covered.

Concealed damage should be reported to us as soon as it is discovered and, wherever possible, before the packaging is disposed of, so that the shipment can be inspected.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Joseph Services LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Lost profits, lost sales, downtime, or market loss arising from a late or missed delivery
• Delays caused by weather, road conditions, traffic, accidents, facility hours, or other circumstances beyond our control
• Acts or omissions of third parties, including shippers, consignees, loading and receiving facilities, and other motorists
• Interruptions in service due to technical, operational, or force majeure events

13. Indemnification

You agree to indemnify, defend, and hold harmless Joseph Services LLC, its members, officers, employees, drivers, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of these Terms
• Your use or misuse of our services or website
• Your negligence, misconduct, or violation of applicable laws or regulations
• Freight you tendered to us that was misdescribed, improperly packaged, or offered in violation of the hazardous materials regulations
• Conditions at a pickup or delivery facility you directed us to that caused injury, damage, or delay

14. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, icons, photographs of our equipment, and branding, is the exclusive property of Joseph Services LLC and is protected under applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, display, or use any content from this Site without our express prior written consent.

15. Privacy Policy

Your use of our Site and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our services, you consent to the collection, use, and handling of your personal information as described in our Privacy Policy.

16. SMS and Text Message Communications

If you give us your mobile number and consent to be texted, you may receive operational SMS messages about your shipment: pickup and delivery coordination, appointment changes, arrival and departure updates, and paperwork. These messages are operational, not marketing.

No mobile opt-in or text message consent will be shared with third parties or affiliates.

Reply STOP to opt out at any time. Reply HELP for support. Message and data rates may apply. Consent to be texted is not a condition of shipping with us. For full details, see our SMS Terms of Service.

17. Third-Party Links

Our Site may contain links to third-party websites, including the Federal Motor Carrier Safety Administration's public records, for convenience. Joseph Services LLC does not control, endorse, or accept responsibility for the content, privacy practices, or services of any third-party website. Your use of third-party sites is at your own risk.

18. Disclaimer of Warranties

This Site is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Nothing in this section limits the duties we owe you as a motor carrier under sections 7 and 11 or under applicable law.

19. Electronic Records and Signatures

You agree that records, confirmations, and signatures exchanged between us electronically, including forms submitted through this Site, rate confirmations returned by email, and delivery paperwork captured electronically, are legally binding and have the same force and effect as originals signed in ink.

This is in accordance with the federal Electronic Signatures in Global and National Commerce Act (E-SIGN, 15 U.S.C. § 7001) and Pennsylvania's Uniform Electronic Transactions Act (73 P.S. § 2260.101 et seq.), under which a record or signature may not be denied legal effect solely because it is in electronic form.

20. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions, except where federal law governing interstate motor carriage applies.

Both parties agree to attempt good-faith negotiation before beginning any legal proceeding. If that fails, any dispute arising under or related to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Lebanon County, Pennsylvania, where Joseph Services LLC maintains its principal place of business.

Nothing in this section prevents either party from bringing a claim in a Pennsylvania magisterial district court where the amount in dispute falls within that court's limit.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

22. Entire Agreement

These Terms, together with our Privacy Policy and SMS Terms of Service, and the rate confirmation and bill of lading issued for a given shipment, constitute the entire agreement between you and Joseph Services LLC with respect to your use of our Site and the freight we carry for you, and supersede all prior understandings or agreements.

Where a signed written transportation agreement exists between us, that agreement controls to the extent it conflicts with these Terms.

23. Changes to These Terms

Joseph Services LLC reserves the right to update or modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. The version in effect on the date a rate confirmation is issued governs that shipment. Your continued use of our Site following any changes constitutes your acceptance of the revised Terms.
